As Senior Counsel you will be empowered to make meaningful contributions, and a typical day will include:
Provide legal and business advice and support on business development and other research and development transactional matters (e.g., structuring, negotiating and drafting agreements and amendments, interpreting existing agreements; evaluating and advising on potential risks).
Serve as a member of the global R&D virtual practice group; advise legal colleagues and corporate senior executives globally on emerging and existing US laws related to pharmaceutical business transactions
Serve as a senior legal advisor to Takeda s global development product team for assigned Takeda pipeline products, including late stage and/or commercial products; serve as a resource to proactively identify and connect the team to specialized legal resources as needed
Lead assigned cross-functional legal initiatives
Proactively provide legal and strategic guidance to senior leaders of assigned global product teams and center of external innovation or business development transactions on various matters
Identify and analyze global legal, business and reputational risks to the company and propose appropriate solutions
Provide legal support on assigned center of external innovation and business development transactions, collaborate with other legal colleagues and as applicable, compliance and procurement, on due diligence, risk assessment, counseling, and drafting and negotiating complex and varied legal documents
Support Takeda s externalized research and development activities by proactively providing legal advice and guidance on complex and contextual matters to identify potential risks and propose solutions to mitigate them; raise the business awareness of legal issues and ensure early legal involvement
Provide guidance to the business in the area of digital technologies including robust risk assessments that substantiate the guidance provided; collaborate with other subject matter experts to provide coordinated, complete guidance
Serve as senior legal advisor on assigned discovery and development projects coordinating with other global colleagues as needed
Proactively coordinate with legal colleagues globally to contribute to and stay abreast of global pharmaceutical laws and regulations, in particular, with respect to business development transactions, product research and development, use of digital devices and related transactions
Develop a thorough understanding of and familiarity with the company s business, code of responsibility, its people, products, markets, facilities, customers and competitors and utilizes that knowledge in providing guidance and counsel to internal clients.
Establish a rapport and a working relationship with global research and development organization and center of external innovation personnel at all levels to encourage and continue the proactive use of in-house legal counsel
Identify process improvement needs and training needs within the organization and assist in the development of process improvement initiatives and the development and presentation of training materials on relevant laws and legal/business issues
Identify and assign, as well as perform special assignments or projects, with supervision, as assigned by senior attorneys
May support more senior attorneys on transactions
May have responsibility for coaching or supervising paralegals and support staff on individual projects


  • A minimum of 6 years of legal experience
  • 3 + years in negotiating and drafting complex business transactions required
  • Business development experience in the life sciences strongly preferred
  • Life sciences research and development experience preferred.
  • Sound conflict resolution skills and ability to work in collaborative, global environment
  • J.D.
  • Active membership and in good standing in any state bar
  • 20% travel required
