Business Development Transactional Attorney

As a Business Development Transactional Attorney working on the Global General Counsel team, you will be empowered to support or lead efforts within business development for; venture investing, licensing and collaborations, divestitures, joint ventures, and Mergers and Acquisitions (M&A), and a typical day will include:
Reports to the Vice President & Deputy General Counsel, providing legal support to the Global Business Development, U.S. Business Development, and Center for External Innovation (collectively, GBD ) functions within Takeda in connection with business development ( BD ) contracting activities and alliance management support.
Draft, review and negotiate a wide variety of Business Development-related contracts including CDAs, inter-company agreements, manufacturing, distribution and supply agreements, license and collaboration agreements, co-promote agreements, and M&A agreements including stock and asset purchase agreements.
Provide support to the Alliance Management and Global Licensee Management functions within Global Business Development, including in connection with contract interpretation, the negotiation and drafting of collaboration and license agreement amendments and collateral agreements, and the management of contract disputes.
Provide support to the Litigation Department in connection with BD contract disputes, including arbitration and litigation.
Assist with the investigation of, and prepare written responses to, government inquiries regarding securities law compliance.
Coordinate globally with other BD Legal attorneys located in Europe, Japan and other countries.
Negotiate, draft and provide advice regarding non-BD, commercial contracts in support of functions other than GBD, and research legal issues that may arise related to Takeda s BD activities.
EDUCATION, BEHAVIORAL COMPETENCIES AND SKILLS:
Law firm or corporate in-house legal department experience in drafting and negotiating business development, venture investment, licensing and collaboration, M&A, and/or other commercial contracts.
Experience providing legal advice to clients regarding business development and/or other commercial contracting matters.
Experience with laws, regulations and industry guidance related to health care compliance (e.g., PDMA, anti-kickback statutes, federal acquisition regulations, false-claims statutes, the PhRMA Code, OIG guidance).
Sr. Counsel Minimum of 7 years experience, Assistant General Counsel minimum of 10 years experience.
Pharmaceutical experience is preferred.
Active membership and in good standing in any state bar, preferably in Illinois.
